Founding Partner Membership Terms
These Founding Partner Membership Terms govern the purchase and use of The Modern Health Index Founding Partner Membership.
Introduction
The membership is offered only to healthcare providers, clinics, businesses and individuals acting wholly or mainly for business purposes. It is not offered as a consumer product.
By submitting provider details, accepting these Terms and completing payment, the purchaser confirms that they are authorised to act for the relevant provider and agree to these Terms.
1. About the membership
The Founding Partner Membership is a paid provider membership offered by The Modern Health Index (“MHI”, “we”, “us” or “our”).
The membership gives an eligible provider access to the features and services described on the Founding Partner offer page at the time of purchase.
Membership does not transfer ownership of any MHI website, content, rankings, data, methodology or intellectual property.
2. Business customers only
The membership is available only to healthcare providers, clinics, organisations and representatives purchasing for business purposes.
The purchaser confirms that:
- they are acting for business purposes;
- they have authority to provide the submitted information;
- they have authority to purchase the membership for the named provider; and
- the submitted information is accurate and not misleading.
MHI may request evidence of identity, authority, ownership, regulatory status or the right to represent a provider.
3. Provider eligibility
Submitting provider details or completing payment does not automatically guarantee publication, profile approval or continued inclusion on MHI.
MHI may refuse or discontinue a membership where:
- the provider cannot be verified;
- submitted information is inaccurate or misleading;
- the provider appears closed, inactive or unsuitable for the platform;
- publication could create legal, regulatory, patient-safety or reputational risk;
- the purchaser is not authorised to represent the provider; or
- the provider breaches these Terms.
If MHI declines the provider before beginning substantive onboarding, editorial or profile work, MHI will return the membership fee paid.
4. Membership term
The membership runs for 12 months from the date payment is successfully completed unless another commencement date is confirmed in writing.
The current Founding Partner membership is a recurring annual subscription. It renews for further 12-month periods at the price shown before renewal unless cancelled before the renewal date.
Cancellation prevents future renewal but does not normally create a refund for the current membership period.
5. Fees and payment
The Founding Partner Membership fee is £365/year, billed annually, for the core membership package. £365 is due at checkout unless a valid discount is clearly shown there.
The fee covers the core Founding Partner membership described in the public Founding Partner materials. Optional premium services, enhanced lead-generation tools, booking integrations, promotional placements and other add-ons may be introduced separately and priced independently. Applicable taxes may still apply.
Payment is processed securely through Stripe.
The purchaser is responsible for:
- providing valid payment information;
- paying any applicable taxes;
- ensuring that the payment method is authorised; and
- retaining the Stripe confirmation or receipt.
MHI does not store full payment-card details.
6. Refund policy
Except where required by law or expressly stated in these Terms, membership fees are non-refundable once payment has been completed and MHI has started onboarding, verification, editorial review, profile preparation, publication or another part of the membership service.
A change of mind, lack of use, failure to provide requested information or failure to obtain enquiries, traffic, rankings or commercial benefit does not create a right to a refund.
Nothing in these Terms excludes a refund where:
- MHI declines the provider before substantive work begins;
- MHI is unable to provide the membership for reasons within its reasonable control; or
- a refund is otherwise legally required.
Any refund approved by MHI will normally be returned through the original payment method.
7. What MHI does not guarantee
Membership does not guarantee:
- publication by a particular date;
- any particular profile position or ranking;
- inclusion in comparisons, guides, evidence pages or editorial features;
- search-engine rankings or indexing;
- website traffic;
- patient enquiries;
- bookings, leads, revenue or commercial return;
- favourable editorial coverage;
- exclusivity within a location, category or treatment; or
- permanent publication.
MHI retains full editorial control over its platform.
8. Editorial independence
Payment does not buy a favourable rating, recommendation, ranking, review or editorial conclusion.
MHI may:
- verify submitted claims;
- edit content for accuracy, consistency, readability and compliance;
- distinguish between provider-supplied and independently reviewed content;
- refuse unsupported claims;
- add qualifications or contextual information;
- correct inaccuracies;
- change how profiles and membership labels are presented; and
- remove or suspend material where reasonably necessary.
Providers may request factual corrections, but MHI is not required to accept promotional wording or unsupported claims.
9. Provider responsibilities
The provider must:
- supply complete and accurate information;
- promptly disclose material changes;
- maintain all licences, registrations, permissions and insurance required for its activities;
- ensure that submitted material does not infringe third-party rights;
- avoid misleading clinical, treatment, pricing or outcome claims;
- obtain permission for logos, images, testimonials and other supplied content; and
- cooperate reasonably with verification and onboarding requests.
The provider remains solely responsible for its services, clinical care, advice, pricing, bookings, treatment outcomes and relationship with patients.
10. Submitted content and licence
The provider retains ownership of material it submits.
The provider grants MHI a non-exclusive, worldwide, royalty-free licence to use, reproduce, edit, format and display submitted names, logos, images, descriptions and factual information for:
- operating the provider profile;
- promoting MHI and its provider directory;
- displaying the membership;
- creating internal and public-facing directory features; and
- administering the commercial relationship.
The provider confirms that it has the rights required to grant this licence.
The licence continues for as long as the relevant material remains reasonably required for the platform, legal records or historical editorial integrity.
11. Membership changes
MHI may improve or change the presentation, format, features and operation of the membership.
MHI will not materially remove the overall paid membership service during an active term without a reasonable substitute, credit or refund where appropriate.
Minor changes, design changes, feature refinements and editorial changes do not create a right to a refund.
12. Suspension and termination
MHI may suspend or terminate the membership where the provider:
- breaches these Terms;
- supplies false or misleading information;
- fails verification;
- infringes third-party rights;
- creates patient-safety, legal, regulatory or reputational risk;
- misuses MHI branding or membership status;
- attempts to influence MHI editorial decisions improperly; or
- fails to pay an amount properly due.
Where reasonably possible, MHI may provide an opportunity to correct a remediable breach.
No refund is due where membership is terminated because of the provider’s breach, misconduct or inaccurate information.
The provider may ask MHI to stop displaying its Founding Partner status. Doing so does not automatically create a refund.
13. Intellectual property
MHI owns or licenses its website, brand, designs, directory structure, editorial content, data presentation, ratings, classifications, methodologies and platform materials.
The provider must not copy, scrape, reproduce, reverse engineer or commercially reuse MHI material except with written permission or as permitted by law.
The provider may accurately state that it is an MHI Founding Partner only while its membership is active and in good standing.
MHI may withdraw permission to use its name, logo or membership badge.
14. Data protection
Personal information submitted through the membership journey will be handled in accordance with the MHI Privacy Policy.
MHI may use submitted details to:
- administer the provider submission;
- verify the provider;
- communicate about membership;
- match the submission to payment;
- maintain business records; and
- protect the platform against misuse.
The Privacy Policy remains separate from these commercial Terms.
15. Liability
Nothing in these Terms limits liability that cannot legally be limited, including liability for fraud, fraudulent misrepresentation, death or personal injury caused by negligence.
Subject to that:
- MHI is not responsible for indirect or consequential loss;
- MHI is not responsible for lost profit, revenue, opportunity, goodwill, anticipated savings, patients, bookings or leads;
- MHI is not responsible for search-engine, platform or third-party service changes outside its reasonable control; and
- MHI’s total aggregate liability arising from the membership will not exceed the membership fee paid by the provider during the 12 months preceding the event giving rise to the claim.
The provider remains responsible for independently assessing whether the membership is suitable for its business.
16. Third-party services
MHI may rely on third-party services including Stripe, email providers, hosting providers, analytics services and search engines.
Those services may have separate terms and privacy policies.
MHI is not responsible for an interruption or failure caused solely by a third-party service outside MHI’s reasonable control, although MHI will take reasonable steps to restore or provide the affected membership service.
17. Notices and communication
Membership communications may be sent to the work email supplied during submission or checkout.
The provider must keep its contact details current.
Questions and notices may be sent to: hello@modernhealthindex.com
18. Changes to these Terms
The Terms applying to a purchase are the version accepted at the time of checkout.
MHI may update these Terms for future purchases or renewals.
Material changes affecting an active paid membership will be communicated where reasonably necessary.
19. General terms
If any provision is found unenforceable, the remaining provisions continue in effect.
A delay in enforcing a right does not waive that right.
The provider may not transfer the membership without MHI’s written consent.
MHI may transfer its rights and obligations as part of a sale, restructure or transfer of the platform, provided this does not materially reduce the active membership service.
These Terms, the relevant offer page and the Privacy Policy form the agreement relating to the Founding Partner Membership.
20. Governing law
These Terms and any dispute arising from them are governed by the laws of England and Wales.
The courts of England and Wales will have jurisdiction, subject to any mandatory rule that applies.
